Small aviation firm becomes a $500M AI campus

Volato Group is merging with AI infrastructure company Alignment Engine in a $500 million deal built around a 154-megawatt Ohio data center campus.

Volato Group, a publicly traded private-aviation company (NYSE American: SOAR), signed a definitive agreement on August 26 to merge with Alignment Engine, an AI infrastructure company, in a deal valuing Alignment Engine at roughly $500 million. Volato stays the public parent after the deal closes, but the business it represents changes completely: from chartered jets to AI data centers.

The asset behind the deal is Alignment Engine’s powered industrial campus in Ohio, which has 154 megawatts of power available now and a near-term path to at least 480 megawatts. That capacity, not a product or a model, is the entire value proposition, high-performance computing infrastructure, advanced compute, and networking built specifically for AI and machine learning workloads.

Why a jet company is the buyer

Deals like this are becoming a recognizable pattern this year: a smaller public company with an existing stock ticker and some cash acquires or merges with a power-and-land asset that would otherwise need its own IPO or a slower private funding path. It gives the AI infrastructure side instant public-market access and gives the acquiring company a growth story tied to the AI buildout rather than its original business. Volato’s aviation software and its Vaunt private-jet membership marketplace do not disappear, but the company’s strategic center of gravity now sits with Alignment Engine’s data-center campus.

For operators tracking where AI compute capacity is actually going to come from, deals like this are as informative as a new chip launch. Power-ready land in the US Midwest is being bid up and consolidated fast, and companies with no prior AI business are the ones doing some of the consolidating, because they already have the public listing and the deal-making apparatus that a pure infrastructure startup would need years to build.

Two days later, Andreessen Horowitz launched a $1.1 billion fund with the identical thesis, physical AI infrastructure over model capability, from the opposite end of the capital markets. It landed the same week as Amazon’s decision to triple its own Nvidia GPU order, another data point that real compute demand is outrunning the capacity built to meet it.
